End User License Agreement (EULA)

1.1 License Grant

Subject to the terms and conditions of this EULA and your payment of any applicable fees, PsyData Labs L.L.C. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use a single copy of the designated App solely for your personal or internal business purposes (as applicable) on a device that you own or control.

1.2 Automatic Acceptance

Installation, copying, or use of the App constitutes your acceptance of these terms. If you do not agree, do not install or use the App, and you must uninstall immediately.

You shall not, and shall not permit any third party to:

(a) Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App, the underlying algorithms, or any data structures generated by the App.

(b) Copy, modify, or create derivative works of the App.

(c) Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the App or its functionality to any third party.

(d) Use the App to conduct competitive research, train rival AI models, or create a competing product or service.

(e) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on the App.

3.1 Ownership

The App, including all underlying source code, object code, AI models, algorithms, documentation, and all derivative works thereof, is the exclusive property of PsyData Labs L.L.C. and is protected by intellectual property laws.

3.2 No Sale of IP

This App is licensed, not sold. You acknowledge that no title to or ownership of the App, or any intellectual property rights therein, is transferred to you under this EULA.

4.1 No Obligation to Support

PsyData Labs L.L.C. is under no obligation to provide support, maintenance, installation, or training services for the App, unless expressly agreed upon in a separate written consulting agreement or SOW.

4.2 Updates

You agree that PsyData Labs L.L.C. may automatically issue updates, modifications, or upgrades to the App at any time. These updates may include security patches, bug fixes, or new features. By continuing to use the App, you agree that these updates will be automatically installed without requiring further consent. This EULA shall govern any such update.

5.1 Term

This EULA is effective upon your first use of the App and remains in effect until terminated.

5.2 Termination

PsyData Labs L.L.C. may terminate this EULA immediately and without notice if you fail to comply with any term of this EULA or the Terms of Service.

5.3 Effect of Termination

Upon termination, you must immediately cease all use of the App and destroy all copies of the App and all its component parts.

The App is governed by the comprehensive Disclaimers and Limitation of Liability clauses set forth in the Terms of Service, which are incorporated by reference herein. In summary, the App is provided "AS IS" and PsyData Labs L.L.C. expressly disclaims all warranties. Your total liability will not exceed the amount paid for the App or the subscription fees paid in the last six (6) months.

This EULA shall be governed by and construed in accordance with the laws of the State of New York. Any dispute arising under this EULA shall be subject to the exclusive jurisdiction of the state and federal courts located in Madison County, New York, as set forth in the Terms of Service.
