Membership and Support Agreement

1. Membership Acceptance and Purpose

1.1 Acceptance

Membership is accepted upon the Company's receipt and processing of the initial fee and confirmation of tier designation. By accepting this Agreement, the Member also confirms they have read, understood, and agree to abide by the Company's Terms of Service, Privacy Policy, and End-User License Agreement.

1.2 Purpose of Fees

The Member explicitly acknowledges that membership fees for the Startup Tiers and Early Supporter Tiers are voluntary donations and contributions intended solely to support the ongoing development, research, and operational cost of the Company. These fees are not equity investments, loans, or purchases of guaranteed future services unless explicity defined in the tier benefits (e.g., Lifetime Licenses). The Member is providing this financial support in recognition of the Company's mission and potential.

2. Membership Tiers, Term, and Renewal

2.1 Tier Definitions

This Agreement governs all three membership categories:

• Startup Tiers: Supporter, Contributor, Sponsor, Partner, Visionary

• Early Supporter Tiers: Backer, Booster, Advocate, Benefactor, Ambassador

• Community Supporter Tiers: Core, Standard, Professional, Enterprise, Apex

2.2 Term and Renewal

All memberships are provided on a monthly recurring basis unless purchased as a single, one-time annual contribution. The membership term begins on the date of initial payment and automatically renews monthly or annually until terminated by either party.

2.3 Legacy Status and Grandfathers

The Member understands and agrees to the following:

• Closure: Startup and Early Supporter Tiers are time-limited programs and will be closed to new enrollment upon the Company's discretion.

• Grandfathering: Existing Members in a Startup or Early Supporter Tier who maintain continuous, unbroken payment will remain grandfathered into their specific tier and retain all associated benefits for the lifetime of the Company, even after the tier is closed to new members.

• Lapse: If a Member's payment lapses or the membership is voluntarily terminated, re-enrollment into the closed Legacy tier will not be permitted.

3. Fees, Billing, and Refunds

3.1 Payment

The Member shall pay the fees associated with their selected tier at the time of enrollment and on each subsequent renewal date. Failure to pay within 7 days of the due date may result in immediate suspension or termination of membership.

3.2 No Guarantee of Services

The Member understands that fees are primarily for support. While the membership grants access to specific perks, services, and benefits, the Company makes no guarantee regarding the stability, timeline, or successful delivery of any promised future products, features, or services.

3.3 Refund Policy

Membership fees are generally non-refundable. Exceptions may be made solely at the discretion of the Company, such as in cases of documented billing error.

4. Rights, Benefits, and Access

4.1 Exclusive and Evolving Business

The Company reserves the right to modify, add, or remove non-core benefits (such as merchandise, exclusive events, or discounts) over time, provided that the core, advertised value proposition of the Legacy Tiers (e.g., Lifetime Discounts, Apex Licenses) remains substantially equivalent to the benefits initially offered at the time of enrollment.

4.2 Limited Access for High-Level Tiers

Members in the Startup Partner, Startup Visionary and Early Ambassador Tiers who receive access to internal meetings, strategy sessions, or roadmap data are granted such access solely for informational purposes. This access does not grant the Member any management, governance, or decision-making power unless explicitly defined as a "Binding Vote" or "Board Observer Status".

4.3 Equity Dealing Invitation

"Guaranteed Priority Invitation to any future equity dealings" means the Member will be among the first contacted with investment opportunities; it is not a guarantee that the Member will be legally permitted to invest or that the Company will ultimately pursue equity financing.

5. Intellectual Property and Confidentiality

5.1 Confidential Information

Any information shared by the Company to the Member regarding unreleased product features, technical vulnerabilities, financial data, or strategic roadmaps, especially within high-tier meetings (e.g. Visionary Observer updates, Partner meetings), shall be considered Confidential Information.

5.2 Non-Disclosure

The Member agrees not to disclose, share, or use any Confidential Information for any purpose outside of this Agreement. This duty of confidentiality survives the termination of the membership.

5.3 Member Input

Any ideas, feedback, suggestions, or contributions (including feature requests or bug reports) provided by the Member become the exclusive property of the Company upon submission, without any requirement for compensation or recognition beyond the rewards associated with the Member's current tier.

6. Termination and Suspension

6.1 Termination by Member

The Member may cancel their membership at any time via the billing portal. Termination will take effect at the end of the current billing cycle.

6.2 Termination by Company

The Company reserves the right to suspend or terminate a membership immediately, without refund, if the Member violates the terms of this Agreement, including, but not limited to, breach of confidentiality, misuse of access or privileges, or engaging in abusive or disruptive conduct toward other members or Company staff.

7. Limitation of Liability and Indemnification

7.1 "As Is" Basis

The membership, its benefits, and all associated servies are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

7.2 Indemnification

The Member agrees to indemnify and hold harmless the Company, its officers, directors, and employees from any claims, damages, losses, or expenses (including attorney's fees) arising from the Member's use of the membership benefits or breach of this Agreement.

8. Governing Law and Jurisdiction

8.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

8.2 Jurisdiction

The Parties agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Madison County, New York, and the Parties hereby irrevocably consent to the personal jurisdiction and venue of such costs.
